1. This agreement
These terms govern your use of the Zuuvy platform and the Zuuvy HQ, Zuuvy Fleet, Zuuvy Warehouse and Zuuvy Partner applications. Using them means accepting these terms.
A subscribing business has a separate written agreement with us that covers price, term and service levels; where that agreement and these terms disagree, that agreement wins. An individual user — a member of staff, or a trade customer given a login — is bound by these terms, and by whatever rules their own business sets on top.
2. Accounts
- Accounts are created by the subscribing business. There is no self-registration, and we do not create accounts on request from individuals.
- You are responsible for what happens under your login. Do not share it. If you think somebody else has it, tell your administrator and write to rishav@zuuvy.in.
- One account is one person. Passing a login around defeats every record of who did what, which is most of what the product is for.
- An administrator can suspend or remove your account at any time. We act on their instruction.
3. Acceptable use
Do not:
- Try to reach data belonging to another business, or another user
- Probe, scan or test the security of the platform without our written permission
- Reverse-engineer, decompile or resell the applications
- Use the platform to break the law, or to send anybody unlawful messages
- Upload malware, or anything designed to disrupt the service
- Automate access in a way that degrades the service for others
Found a security flaw? Tell us at rishav@zuuvy.in before telling anybody else — see the security page. We will not pursue anybody who reports a genuine flaw in good faith and gives us a reasonable chance to fix it.
4. Who owns what
The business's data is the business's. Its customers, products, prices, orders and records belong to it, not to us. We hold them to run the service and for no other purpose. We do not sell them, and we do not use one customer's data to benefit another.
The software is ours. These terms grant a licence to use it while the subscription is live — not ownership of it.
On request, a subscribing business can export its data in a machine-readable format, during the subscription and for 30 days after it ends.
5. Availability and changes
We aim to keep the platform running continuously, and we will give notice of planned maintenance where we reasonably can. We do not promise uninterrupted service in these terms; a specific availability commitment, if there is one, lives in the subscription agreement.
Features change. We add and improve things regularly, and occasionally remove something. Where a removal materially affects how a business works, we will give notice before it happens.
6. Fees
The apps are free to download and carry no in-app purchases. Nothing is charged through Google Play.
Zuuvy is paid for by the subscribing business under its own agreement with us. Goods ordered through Zuuvy Partner are bought from that business and paid for on its terms, not ours — we are not a party to that sale and do not process the payment.
7. Liability
The platform is provided as it is. To the extent the law allows, we exclude implied warranties, and we are not liable for indirect or consequential loss, lost profits, or lost business.
Where we are liable, our total liability is limited to the fees paid for the service in the twelve months before the claim.
Nothing here excludes liability that cannot lawfully be excluded — including for fraud, or for death or personal injury caused by negligence.
Records are yours to check. The platform computes balances, stock and attendance from what is entered into it. It is a tool for running a business, not a substitute for the business checking its own books.
8. Ending it
- A subscribing business can end its subscription under its own agreement.
- An individual can ask for their account to be deleted at any time — here.
- We can suspend access immediately where use is unlawful, endangers the platform, or breaches these terms materially. We will say why.
- After a subscription ends, data is available for export for 30 days and is then deleted, except records the law requires us to keep.
9. Governing law
These terms are governed by the laws of India. The courts at Bangalore, Karnataka have exclusive jurisdiction, except that either party may seek urgent injunctive relief anywhere it is needed.
